Madis Coffee Roasters Application & Website Terms of Use

1. ACCEPTANCE OF TERMS
   PLEASE READ THESE TERMS OF USE CAREFULLY. DOWNLOADING, INSTALLING, ACCESSING OR USING THE MADIS COFFEE ROASTERS MOBILE APPLICATION (“THE APPLICATION”) INCLUDING ANY WEBSITE, MOBILE APPLICATION OR ONLINE SERVICE WHERE THESE TERMS ARE POSTED (COLLECTIVELY, THE “SITES”) CONSTITUTES ACCEPTANCE OF THESE TERMS OF USE (“TERMS”), AS SUCH MAY BE REVISED BY MADIS COFFEE ROASTERS LLC (“MADIS COFFEE ROASTERS”) FROM TIME TO TIME, AND IS A BINDING AGREEMENT BETWEEN THE USER (“USER” OR “YOU”) AND MADIS COFFEE ROASTERS GOVERNING THE USE OF THE APPLICATION AND SITES. IF USER DOES NOT AGREE TO THESE TERMS, USER SHOULD UNINSTALL THIS APPLICATION IMMEDIATELY. THESE TERMS CONTAIN DISCLAIMERS AND OTHER PROVISIONS THAT LIMIT OUR LIABILITY TO USER. 

These Terms apply to your access to, and use of, all or part of this Application, any website or mobile application of Madis Coffee Roasters LLC or its subsidiaries and affiliated companies (collectively, “Madis Coffee Roasters”). These Terms do not alter in any way the terms or conditions of any other agreement you may have with Madis Coffee Roasters for products, services, or otherwise.

In the event there is any conflict or inconsistency between these Terms and any other terms of use that appear on the Sites, these Terms will control. However, if you navigate to a third-party site, you may be subject to alternative third-party terms and conditions of use, as may be specified on such site, which will govern your use of that site.

These Terms include an arbitration agreement that governs any disputes between you and Madis Coffee Roasters. This arbitration agreement and other provisions will (i) eliminate your right to a trial by jury to the extent allowable under applicable law; and (ii) substantially affect your rights, including preventing you from bringing, joining, or participating in class or consolidated proceedings in arbitration and litigation.

You agree that we may provide notices, disclosures, and amendments to these Terms by electronic means, including by changing these Terms within the Sites or by posting revisions on the Sites.

 

Please review the Privacy Policy thoroughly to comprehend how Madis Coffee Roasters gathers, utilizes, and divulges personally identifiable information from its Users. Upon downloading, installing, accessing, or utilizing the Sites, you express your consent to all actions taken by us regarding your data, consistent with our Privacy Policy.

2. ELIGIBILITY; NOTICE CONCERNING CHILDREN AND MINORS

The Sites are not targeted towards, nor intended for use by, anyone under the age of 13 years old. A USER M

UST BE AT LEAST AGE 13 TO ACCESS AND USE THE SITES. If the User is between the ages of 13 and 18, he or she may only use the Sites under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3. USER RESPONSIBILITIES

In order to participate in certain areas or use certain functions of our Sites, you will need to register for an account. You agree to:

• Create a single account only;
• Provide accurate, truthful, current, and complete information during the account creation process;
• Keep your account information up to date and promptly update it as needed;
• Maintain the security of your account by not sharing your password with others and restricting access to your account and your device;
• Immediately notify Madis Coffee Roasters if you discover or suspect any security breaches related to the Sites; and
• Take full responsibility for all activities conducted under your account and acknowledge all risks associated with unauthorized access.

4. PAYMENT

Madis Coffee Roasters does not itself process payment for any of our products or services. To facilitate payment for our products and services via a payment card, we use Stripe, Inc. and its affiliates (“Stripe”), a third-party payment processor. If you make a payment for our products or services via a payment card, you may be subject to Stripe’s terms and conditions and other policies available at https://stripe.com/legal and Stripe’s privacy policy available at
https://stripe.com/privacy.

5. LOYALTY PROGRAM

Madis Coffee Roasters offers a loyalty program operated by FoodTec Solutions Inc. (“FoodTec”) whereby making qualifying transactions will help you progress towards earning rewards from Madis Coffee Roasters (“Reward Progress”) and reaching a threshold (a "Reward Threshold"). You will be automatically enrolled in the loyalty program when you create your account.

6. EMAIL COMMUNICATIONS, NOTIFICATIONS, AND MESSAGES 

Should a User register for a Madis Coffee Roasters account on the Sites, the User is automatically enrolled, by default, to receive promotional email communications from Madis Coffee Roasters ("Email Communications"). During the sign-up process, the User may choose to opt out of receiving Email Communications from Madis Coffee Roasters. Subsequently, the User has the option to manage their preferences and opt out of Email Communications by adjusting their profile settings within their account.

Similarly, upon downloading the Application, Users are presented with the choice to opt in to receive push notifications from Madis Coffee Roasters on their devices. This includes promotional communications, offers, and system messages pushed to the device ("Push Notifications"). Users can opt out of Push Notifications entirely by adjusting the settings within the device's settings application under "Notifications." It's important to note that opting out of Push Notifications does not impact User settings related to Email Communications.

7. INTELLECTUAL PROPERTY

Unless otherwise indicated, the Sites and all content and other materials therein, including, without limitation, the Madis Coffee Roasters logo and all designs, text, graphics, pictures, information, data, software, sound files, other files and the selection and arrangement thereof are the property of Madis Coffee Roasters or its licensors or Users and are protected by U.S. and international copyright laws. Madis Coffee Roasters Coffee LLC, Madis Coffee, Madis, the Madis Coffee Roasters logo, and other Madis Coffee Roasters trademarks, service marks, graphics, and logos used in connection with the Sites are trade names, trademarks or registered trademarks of Madis Coffee Roasters LLC (collectively “Madis Coffee Roasters Marks”). Other trademarks, service marks, graphics and logos used in connection with the Sites are the trademarks or registered trademarks of their respective owners (collectively “Third Party Marks”). The Madis Coffee Roasters Marks and Third-Party Marks may not be copied, imitated, or used, in whole or in part, without the prior written permission of Madis Coffee Roasters or the applicable trademark holder. The Sites and the content are protected by copyright, trademark, patent, trade secret, international treaties, state and federal laws, and other proprietary rights and also may have security components that protect digital information only as authorized by Madis Coffee Roasters or the owner of the content. All rights not expressly granted are reserved.

8. THIRD-PARTY SERVICES, CONTENT, APPLICATIONS (may include Advertising and Promotions)

Madis Coffee Roasters may provide third party content in the Sites (including embedded content) or links to third-party web pages, content, applications, products, and services, including advertisements and promotions (collectively, “Third Party Content”) as a service to those interested in this information. It is important to note that we do not control, endorse, or adopt any Third-Party Content, including that the inclusion of any link does not imply affiliation, endorsement or adoption by Madis Coffee Roasters of any application or website or any information contained therein, and can make no guarantee as to its accuracy or completeness. You acknowledge and agree that Madis Coffee Roasters is not responsible or liable in any manner for any Third-Party Content and undertakes no responsibility to update or review such Third-Party Content. You agree to use such Third-Party Content contained therein at your own risk. When you use or visit other applications or websites via Third-Party Content or participate in promotions or business dealings with third parties, you should understand that our terms and policies no longer govern, and that the terms and policies of those third-party applications or websites will now apply. You should review the applicable terms and policies, including privacy and data gathering practices, of any application or website to which you navigate from the Sites. You must comply with any applicable third-party terms when using the Sites.

9. ACCEPTABLE USE AND PROHIBITED ACTIVITIES

User's use of the Sites, any content, and any information provided by the User, including usernames and passwords, addresses, e-mail addresses, phone numbers, financial information (such as credit card numbers), employer name, or GPS location ("User Information") transmitted in connection with the Sites, is limited to the contemplated functionality of the Sites.

Under no circumstances should the Sites be used in a manner that:

• Harasses, abuses, stalks, threatens, defames, or otherwise infringes or violates the rights of any other party (including but not limited to rights of publicity or other proprietary rights);
• Is unlawful, fraudulent, or deceptive;
• Provides sensitive personal information unless explicitly requested by Madis Coffee Roasters;
• Includes spam or any unsolicited advertising;
• Uses technology or other means to access Madis Coffee Roasters or content not authorized by Madis Coffee Roasters;
• Uses or launches any automated system, including, without limitation, "robots," "spiders," or "offline readers," to access Madis Coffee Roasters or content;
• Attempts to introduce viruses or any other computer code, files, or programs that interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
• Attempts to gain unauthorized access to Madis Coffee Roasters’ computer network or user accounts;
• Encourages conduct that would constitute a criminal offense or that gives rise to civil liability;
• Violates these Terms;
• Attempts to damage, disable, overburden, or impair Madis Coffee Roasters’ servers or networks;
• Impersonates any person or entity or otherwise misrepresents your identity or affiliation with another person or entity; or
• Fails to comply with applicable third-party terms.

Madis Coffee Roasters reserves the right to refuse service, suspend your account or your participation in any rewards program offered, or cancel your orders in our sole discretion, including, without limitation, if we believe that your conduct violates these Terms or Madis Coffee Roasters policies, applicable law or is harmful to our interests. Madis Coffee Roasters requests that Users refrain from using the Sites, including placing orders, while driving.

10. MODIFICATION OF TERMS

Madis Coffee Roasters reserves the right to change or modify these Terms or any other Madis Coffee Roasters policies related to use of the Sites at any time and at its sole discretion by changing these Terms within the Application or by posting revisions on the Sites. Continued use of the Sites following such changes or modifications to the Terms or other Madis Coffee Roasters policies will constitute acceptance of such changes or modifications. If you do not agree to such changes or modifications, you should uninstall the Application immediately and refrain from using any of the Sites.

11. TERMINATION OF USE

Notwithstanding any of these Terms, Madis Coffee Roasters reserves the right, without notice and in its sole discretion, to terminate your account and to block or prevent your future access to and use of the Sites. Madis Coffee Roasters’ failure or delay in taking such actions does not constitute a waiver of its rights to enforce these Terms. 

12. DISCLAIMER OF WARRANTY

MADIS COFFEE ROASTERS IS PROVIDING THE SITES TO THE USER “AS IS” AND THE USER IS USING THE SITES AT HIS OR HER OWN RISK. TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAW, MADIS COFFEE ROASTERS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES THAT THE SITES ARE MERCHANTABLE, RELIABLE, AVAILABLE, ACCURATE, FIT FOR A PARTICULAR PURPOSE OR NEED, NON-INFRINGING, FREE OF DEFECTS OR VIRUSES, ABLE TO OPERATE ON AN UNINTERRUPTED BASIS, THAT THE USE OF THE SITES BY THE USER IS IN COMPLIANCE WITH LAWS APPLICABLE TO THE USER, THAT USER INFORMATION OR ORDERS TRANSMITTED IN CONNECTION WITH THE SITES WILL BE SUCCESSFULLY, ACCURATELY, OR SECURELY TRANSMITTED OR RECEIVED, THAT ORDERS WILL BE AS PLACED OR READY AT THE SUGGESTED TIME, OR THAT ANY PARTICULAR ITEM ORDERED WILL BE AVAILABLE. THE MATERIALS AND INFORMATION ON THE SITES MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. NOTWITHSTANDING THE FOREGOING, NONE OF THE DISCLAIMERS IN THIS PARAGRAPH SHALL APPLY TO WARRANTIES RELATED TO PERSONAL INJURY.

Madis Coffee Roasters is responsible for addressing any claims of the User or any third party relating to the Sites or User’s possession and/or use of the Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Sites fail to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

13. NO LIABILITY

SUBJECT TO APPLICABLE LAW, INCLUDING WITH RESPECT TO LIABILITY FOR PERSONAL INJURY OR NON-WAIVABLE STATUTORY RIGHTS UNDER PENNSYLVANIA LAW, IN NO EVENT SHALL MADIS COFFEE ROASTERS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, MEMBERS, OR AGENTS (A) BE LIABLE TO THE USER WITH RESPECT TO USE OF THE APPLICATION, THE SITES, THE CONTENT OR THE MATERIALS CONTAINED IN OR ACCESSED THROUGH THE SITES (INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY A USER ON ANY INFORMATION OBTAINED FROM MADIS COFFEE ROASTERS), OR ANY DAMAGES THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO MADIS COFFEE ROASTERS' RECORDS, PROGRAMS OR SERVICES; AND (B) BE LIABLE TO THE USER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOSS, THEFT OR CORRUPTION OF USER INFORMATION, THE INABILITY TO USE THE SITES OR ANY OF THEIR FEATURES OR DEVICE FAILURE OR MALFUNCTION. THE USER’S SOLE REMEDY IS TO CEASE USE OF THE SITES OR TO CEASE PARTICIPATION IN THE APPLICATION. 

IF YOU RESIDE IN A JURISDICTION OTHER THAN PENNSYLVANIA, YOUR JURISDICTION MAY NOT ALLOW THE LIMITATION OF LIABILITY IN CONTRACTS WITH CONSUMERS, SO SOME OR ALL OF THESE LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU.

14. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Madis Coffee Roasters and its parent, subsidiaries, affiliates, partners, members, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

 

15. GOVERNING LAW

These Terms and use of the Sites are governed by the laws of the Commonwealth of Pennsylvania without regard to Pennsylvania’s conflict of laws rules. If the arbitration agreement is ever deemed unenforceable or void, or a dispute between the parties is not subject to arbitration, the User irrevocably consents to the exclusive jurisdiction of the federal and state courts in Philadelphia County, Pennsylvania, for purposes of any legal action arising out of or related to the use of the Sites or these Terms, and waives any objections as to personal jurisdiction or as to the laying of venue in such courts due to: (a) inconvenient forum or (b) any other basis or any right to seek to transfer or change venue of any such action to another court.

16. ARBITRATION AGREEMENT; CLASS ACTION WAIVER: JURY TRIAL WAIVER

Please read this section carefully. It affects rights that you may otherwise have. It provides for resolution of most disputes through arbitration instead of court trials and class actions. Arbitration is more informal than a lawsuit in court, uses a neutral arbitrator instead of a judge or jury, and discovery is more limited. Arbitration is final and binding and subject to only very limited review by a court. This arbitration clause shall survive termination of these Terms.

Binding Arbitration. This provision is intended to be interpreted broadly to encompass all disputes or claims arising out of or relating to these Madis Coffee Roasters Application & Website Terms, your account, the Sites and your relationship with Madis Coffee Roasters. Any dispute or claim arising out of or relating to these Terms, your account or your use of the Madis Coffee Roasters Sites and your relationship with the Madis Coffee Roasters or any affiliate company or companies of Madis Coffee Roasters (whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory) will be resolved by binding arbitration, except that any party hereto may take claims to small claims court if they qualify for hearing by such a court.

Arbitration Procedures. For all disputes, whether pursued in court or arbitration, you must first send a written description of your claim to Madis Coffee Roasters at: info@madiscoffee.com to allow Madis Coffee Roasters an opportunity to resolve the dispute. You and Madis Coffee Roasters each agree to negotiate your claim in good faith. You may request arbitration if your claim or dispute cannot be resolved within 60 days.

The arbitration of any dispute or claim shall be conducted in accordance with the rules of the American Arbitration Association ("AAA"), including the AAA's Consumer Arbitration Rules (as applicable), as modified by these Terms. The AAA Rules and information about arbitration and fees are available online at www.adr.org. You and Madis Coffee Roasters agree that these Terms evidence a transaction in interstate commerce and this arbitration provision will be interpreted and enforced in accordance with the U.S. Federal Arbitration Act and federal arbitration law and will not be governed by state law. Any arbitration will be held in a reasonably convenient location in the state in which you reside or at another mutually agreed location. The arbitration will be conducted in the English language. An arbitrator may award on an individual basis any relief that would be available in a court, including injunctive or declaratory relief to the extent required to satisfy your individual claim, and must follow and enforce these Terms as the court would. Any arbitration shall be confidential, and neither you nor Madis Coffee Roasters may disclose the existence, content, or results of any arbitration, except as may be required by law or for purposes of enforcement of the arbitration award. Judgment on any arbitration award may be entered in any court having proper jurisdiction.

Costs of Arbitration. Payment of arbitration fees will be governed by the AAA Rules and fee schedule. You and Madis Coffee Roasters agree that the parties have a shared interest in reducing the costs and increasing the efficiencies associated with arbitration. Therefore, you or Madis Coffee Roasters may elect to engage with the AAA regarding arbitration fees, and you and Madis Coffee Roasters agree that the parties (and counsel, if represented) will work together in good faith to ensure that arbitration remains cost-effective for all parties.

Class Action Waiver and Jury Waiver. You and Madis Coffee Roasters each agree that any proceeding, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated or representative action. If a court or arbitrator determines in an action between you Madis Coffee Roasters that this class action waiver is unenforceable, the arbitration agreement will be void as to you. If for any reason a claim proceeds in court rather than through arbitration, you and Madis Coffee Roasters each waive any right to a jury trial.

Future Changes to Arbitration Agreement. If we make any future changes to this arbitration agreement (other than a change to our contact information), you may reject any such change by sending your personally signed, written notice to the address provided in section 18 within 30 days of the change. Such written notice does not constitute an opt out of arbitration altogether. By rejecting any future change, you are agreeing that you will arbitrate any dispute between you and Madis Coffee Roasters in accordance with this version of the arbitration agreement.

17. NOTICE TO CALIFORNIA RESIDENTS

Under California Civil Code Section 1789.3, California residents are entitled to the following specific consumer rights information: the provider of the Sites is 3527 Lancaster Ave, Philadelphia, PA 19104. To file a complaint regarding the Sites or to receive further information regarding use of the Sites, send a letter to the above address or contact Madis Coffee Roasters via e-mail provided in section 18 (with “California Resident Request” as the Subject Line).
